By accessing or using xPlant (the "Service"), operated by Shmaplex ("we," "us," or "our"), you agree to be bound by these Terms & Conditions. If you do not agree to these terms, do not use the Service.
xPlant is a cloud-based lab management platform designed for plant tissue culture and propagation workflows. The Service allows users to track plants, explants, stages, contamination events, SOPs, media recipes, tasks, QR labels, and reports. Access is provided on a subscription basis.
You must create an account to use most features of the Service. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must be at least 18 years of age or have parental consent to use the Service.
We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or pose a security risk to the platform or other users.
xPlant offers paid subscription plans. By subscribing, you authorise us to charge your payment method on a recurring basis according to the plan selected. Prices are listed at the time of purchase and may change with reasonable notice.
Subscriptions renew automatically unless cancelled before the renewal date. Refunds are issued at our discretion and in accordance with applicable consumer protection law. Contact team@shmaplex.com for billing queries.
You own the data you enter into xPlant — plant records, observations, contamination logs, media recipes, SOPs, and all related lab data. We do not sell your lab data to third parties. See our Privacy Policy for full details on how we collect, process, and store your information.
You may export or delete your data at any time through the Settings → Data & Privacy section. Upon account deletion, your data is removed from active systems within 30 days, subject to legal retention obligations.
xPlant includes optional AI-powered features, including contamination image analysis, observation assessment, and a lab Q&A assistant. These features may process the text, images, and data you submit to generate responses.
When you use AI features, your inputs may be sent to third-party AI providers (such as OpenAI) to generate responses. We do not use your personal lab data to train AI models without your explicit consent. If you have enabled the AI training data consent option in Settings, anonymised interaction signals may be used to improve xPlant's AI features.
AI-generated outputs are provided for informational purposes only. They are not a substitute for professional agronomic or scientific judgement. Shmaplex is not liable for decisions made based on AI-generated content.
You may bring your own API key (BYOK) to use certain AI features. In that case, your API key is stored locally on your device and usage is subject to the third-party provider's terms.

All software, design, trademarks, and content comprising xPlant are the intellectual property of Shmaplex unless otherwise stated. You are granted a limited, non-exclusive, non-transferable licence to use the Service in accordance with these Terms.
You retain all intellectual property rights in the data and content you create using the Service.
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Service will be error-free, uninterrupted, or free from security vulnerabilities.
To the fullest extent permitted by law, Shmaplex and its affiliates, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including loss of data, revenue, or profits.
Our total liability to you for any claim arising from these Terms or the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.
You agree to indemnify and hold harmless Shmaplex and its affiliates from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.
We may update these Terms from time to time. Material changes will be notified via email or an in-app notice at least 14 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
These Terms are governed by the laws of the Republic of Korea, without regard to its conflict of laws principles. Disputes will be resolved in the competent courts of Seoul, South Korea, unless applicable consumer protection law in your country of residence provides otherwise.
